Membership Agreement

1. PARTIES

1.1. This membership agreement (“Membership Agreement”) is between Steel Life Inc. (“SINBADEXPORT”), located at 418 Broadway, Ste R Albany, NY 12207, USA, and the Member (“Member”) for the purpose of determining the terms and conditions under which the Member may use the Services offered by SINBADEXPORT on its Website (https://sinbadexport.com).

1.2. SINBADEXPORT and the Member shall be referred to individually as a “Party” and collectively as the “Parties” in this Membership Agreement.

2. DEFINITIONS

Cookie Policy: Refers to the text containing information about cookies used to ensure the functional operation of the Website, improve Members' shopping experience, and provide content tailored to Members' preferences and tastes based on information about their visits to the Website, which can be accessed via the Website at https://sinbadexport.com/Cookie%20Policy.

Privacy Policy: This refers to the text that regulates SINBADEXPORT's general privacy policy regarding personal data, including topics such as the purposes for which and the manner in which SINBADEXPORT uses the personal data transmitted by Members via the Website, and which can be accessed via the Website at https://sinbadexport.com/kvk-gizlilik.

My Account Page: Refers to the Member's private page, accessible only with the username and password specified by the relevant Member, where the Member can perform the necessary actions to use the various applications and Services available on the Website, and enter their personal data and information requested on an application basis.

Service: Refers to the services and applications provided by SINBADEXPORT to enable Members and Visitors to perform the tasks and transactions defined in this Membership Agreement.

Member: Refers to a real or legal person who is a member of the Website under this Membership Agreement with SINBADEXPORT and who purchases products and/or services offered for sale by the Seller on the Website through advertisements placed on the Website.

Website: Refers to the internet site with the domain name (https://sinbadexport.com), mobile applications, and mobile site owned by SINBADEXPORT and on which SINBADEXPORT provides the Services specified in this Agreement.

Visitor: Refers to a real person who uses the Website without being a Member and benefits from the Services.

Membership Information Verification: The process whereby the member's email and phone number provided during registration are verified by SINBADEXPORT sending a verification code.

Product: Refers to products uploaded by Sellers on the SINBADEXPORT website.

3. SCOPE AND PURPOSE OF THE MEMBERSHIP AGREEMENT

3.1. SINBADEXPORT is an e-commerce site that serves as a marketplace bringing buyers and sellers together.

3.2. Pursuant to the Membership Agreement, the Member wishes to become a member of the Website, benefit from the Services, and purchase the products and/or services sold on this platform.

3.3. The purpose of the Membership Agreement is to determine the conditions for benefiting from the Services and to identify the rights and obligations of the Parties in this regard. By accepting the Membership Agreement, the Member declares and undertakes that they also accept all statements regarding the Services, usage, content, applications, and Members that are and will be on the Website.

3.4. For the avoidance of doubt, this Membership Agreement is solely between the Parties and covers the terms and conditions of the Services available on the Website. Members may pursue their legal rights against SINBADEXPORT in relation to transactions they carry out on the Website.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1. To obtain membership status, the Membership Agreement must be approved by the Member, the information requested on the membership page must be filled in with accurate and up-to-date information, and this membership application must also be approved by SINBADEXPORT. SINBADEXPORT may refuse/disapprove membership applications made by Members on the Website without giving any reason. Members are deemed to have accepted this situation. Users who wish to become members must be at least 18 (eighteen) years of age. Members who do not provide accurate and up-to-date information when completing the Membership Agreement are personally liable for any damages that may arise as a result.

4.2. SINBADEXPORT has no obligation to monitor the content on the Website or to check whether such content is lawful. SINBADEXPORT reserves the right, at its sole discretion, to monitor such content at any time and to block access to or delete it if deemed necessary.

4.3. The Member acknowledges that when making purchases through the Website, the product is sold by the Seller, SINBADEXPORT is only an intermediary operating the marketplace, and all responsibility for the quality, warranty period, etc. of the purchased products lies with the Seller.

4.4. The Member agrees and declares that they will act in accordance with the provisions of this Membership Agreement, all conditions specified on the Website, applicable legislation, and ethical rules in the transactions and communications they carry out on the Website. The Member is solely responsible for the legal and criminal liability arising from their actions and transactions on the Website.

4.5. SINBADEXPORT may share the Member's information with the relevant authorities, subject to data transfer rules, provided that the Member is notified in advance if required by applicable laws.

4.6. The username and password required to access the Member's Account Page and perform transactions on the Website are created by the Member, and the security and confidentiality of this information is entirely the responsibility of the Member. The Member acknowledges, declares, and undertakes that they are responsible for any transactions carried out with their username and password, that the responsibility arising from these transactions is theirs, and that they cannot raise any objection that they did not carry out such transactions.

4.7. The Member shall not use the Website in a manner contrary to law and morality, including but not limited to the following cases.

4.7.1. Using the Website for the purpose of creating a database, record, or directory on behalf of any person;

4.7.2. Using the Website in whole or in part for the purpose of tampering with, modifying, or reverse engineering it;

4.7.3. Creating fake Membership accounts using false or misleading personal data, including false or misleading residence addresses, email addresses, contact details, payment or account information, by using false information or another person's information, and using these accounts in violation of the Membership Agreement or applicable legislation; Unauthorized use of another Member's account, acting as a party or participant in transactions by impersonating another person or using a false name;

4.7.4. Using the comment and rating systems for purposes other than their intended use, such as publishing comments from the Website outside the Website, or using them in a manner that manipulates the systems;

4.7.5. Disseminating viruses or any other technology that may damage the Website, the Website's database, or any content on the Website;

4.7.6. Collecting any information, including Members' email addresses, without the consent of the relevant persons.

4.7.7. Engaging in activities that create unreasonable or disproportionately large loads on the communications and technical systems specified by the Website or that damage technical operations, using automated programs, robots, web crawlers, spiders, data mining, and data scraping (data crawling) or similar “screen scraping” software or systems on the Website without prior written permission from SINBADEXPORT, and copying, publishing, or using all or part of any content on the Website in this manner without permission;

4.7.8. Using the Services and campaigns and benefits offered on the Website with malicious intent and for the purpose of obtaining unfair advantage, or maliciously violating the terms and conditions of the campaigns.

4.8. Members are obligated to carry out their transactions on the Website in a manner that does not cause any technical damage to the Website. The Member acknowledges and undertakes to take all necessary measures, including using the necessary protective software and licensed products, to ensure that all information, content, materials, and other content provided to the Website does not contain any programs, viruses, software, unlicensed products, Trojan horses, etc. that may harm the system. The Member also agrees not to access the Account Page using robots or automated login methods.

4.9. Links on the platform may direct Members to other websites/applications. SINBADEXPORT does not guarantee or warrant the content, accuracy, reliability, and/or functionality of these sites or applications. It is not liable in any way for any damages that may arise from the download, sharing, use, access, and/or modification of these websites/applications. By becoming a member of the site, Members accept this situation.

4.10. SINBADEXPORT will take technical measures to ensure the security of the Website and will publish these measures on the Website.

4.11. Members may update their data from the My Account Page provided for their use and are not required to notify SINBADEXPORT after updating their data. Members continue to use the Website with the most recently updated data.

4.12. For security reasons, SINBADEXPORT will perform email or SMS verification when the Member registers on the site. The MEMBER has accepted and approved this situation.

5. TERMINATION OF THE AGREEMENT

5.1. Either Party may terminate this Membership Agreement unilaterally and without compensation at any time. In the event of such termination, the Parties shall fully perform their respective rights and obligations accrued up to the date of termination.

If SINBADEXPORT sells the site to another company, Members shall be notified of the sale process at least 3 months in advance through the relevant communication channels. If such a sale occurs, Members may choose to continue their Website membership or leave the Website at any time.

5.2. SINBADEXPORT reserves the right to suspend or terminate membership, and to pursue legal action and follow-up, if it determines that a Member has violated any provision of this Membership Agreement or has reasonable suspicion thereof.

5.3. A request by the Member to temporarily close or permanently delete their Membership Account may be made by sending an email to info@sinbadexport.com from the email address used during registration, detailing the request, or by sending a letter to the company address with the subject “Membership Cancellation.” Membership cancellation requests made through other channels will not be accepted, and the membership process will continue as usual. Applications for Membership Cancellation will be processed by SINBADEXPORT within a maximum of 1 month, and a notification letter will be sent to the relevant Member once the process is complete. For matters such as Membership Cancellation, the Member may send an email to SINBADEXPORT from the most recent email address registered in the Member panel; other unverified emails will not be accepted or processed.

6. PRIVACY POLICY

All services provided in our store belong to and are operated by our company, Steel Life Inc., registered at https://sinbadexport.com/.

Our company may collect personal data for various purposes. Below, it is stated how and in what way the collected personal data is collected and how and in what way this data is protected.

Through membership or filling out various forms and surveys on our Store, members' personal information (such as name-surname, company information, telephone, address, or e-mail addresses) is collected by our Store as required by the nature of the business.

IP addresses may also be used to identify users in a general manner and to collect comprehensive demographic information.

Our company may also use the requested information for direct marketing purposes, either by itself or by persons with whom it cooperates, outside the purposes and scope specified in the Membership Agreement. Personal information may also be used to contact the user when necessary. Information requested by our company, information provided by the user, or information related to transactions made through our Store may be used by our company and its partners for various statistical evaluations, database creation, and market research, even outside the purposes and scope specified in the “Membership Agreement,” without disclosing the identity of our members. 

Our company undertakes to keep confidential information strictly private and confidential, to treat this as a duty of confidentiality, and to take all necessary measures and exercise due care to ensure and maintain confidentiality, and to prevent the disclosure of all or any part of the confidential information to the public domain, unauthorized use, or disclosure to a third party.

THIRD-PARTY WEBSITES AND APPLICATIONS

Our store may provide links to other sites within its website. Our company does not assume any responsibility for the privacy practices and content of sites accessed through these links. Advertisements published on our company's site are distributed to our users through our advertising partners. The Privacy Policy Principles in this agreement only apply to the use of our Store and do not cover third-party websites.

EXCEPTIONAL CIRCUMSTANCES

In the limited circumstances specified below, our Company may disclose user information to third parties outside the provisions of this “Privacy Policy.” These circumstances are limited in number and include:

2. To fulfill the requirements of the “Membership Agreement” and other agreements entered into by our Store with users and to implement them;

4. Where it is necessary to provide information to protect the rights or safety of users.

EMAIL SECURITY

When sending emails to our store's Customer Service regarding any order, never include your credit card number or passwords. Information contained in emails may be viewed by third parties. Our company cannot guarantee the security of information transmitted via email under any circumstances.

BROWSER COOKIES

INTELLECTUAL PROPERTY RIGHTS                  

The SINBADEXPORT brand and logo, the design and software of the SINBADEXPORT mobile application and Website, the domain name, and all intellectual property rights related to any brand, design, logo, commercial presentation, slogan, and other content created by SINBADEXPORT are the property of SINBADEXPORT. Members may not use, share, distribute, display, reproduce, or create derivative works from the intellectual property rights owned by SINBADEXPORT or its affiliates without the permission of SINBADEXPORT. The Member may not use the SINBADEXPORT mobile application or Website, in whole or in part, in any other medium without the permission of SINBADEXPORT. If the Member acts in a manner that infringes the intellectual property rights of third parties or SINBADEXPORT, the Member shall be liable to compensate SINBADEXPORT and/or the third party concerned for all direct and indirect damages and expenses incurred.

8. CONTRACT AMENDMENTS

SINBADEXPORT may, at its sole discretion, amend this Membership Agreement and any policies, terms, and conditions on the Website, including the Privacy Policy, Cookie Policy, and Disclosure Statement, at any time it deems appropriate, provided that such changes do not violate applicable laws and regulations, by announcing them on the Website, without obtaining the Member's written and verbal consent, and may partially or completely, permanently or temporarily, remove, change, update, suspend, or stop the platform and/or services, and/or may launch additional services on the platform. SINBADEXPORT shall have no liability to the Member and/or third parties in relation to the matters listed in this article and other matters of a similar nature. The amended provisions of this Membership Agreement shall become effective on the date they are announced on the Website, and the remaining provisions shall remain in force and continue to produce their effects. For the avoidance of doubt, this Membership Agreement cannot be unilaterally amended by the Member.

9. FORCE MAJEURE

Revolt, embargo, government intervention, insurrection, occupation, war, mobilization, strike, lockout, labor disputes or boycotts, cyber attacks, communication problems, temporary closure of the Website due to unforeseen circumstances rendering the Website system inoperable, server failure, temporary inability to provide service when the server must be replaced, infrastructure and internet failures, system improvement or upgrade work and any failures that may occur as a result, power outages, fires, explosions, storms, bad weather conditions, regulatory changes, decisions taken by competent authorities, floods, earthquakes, migrations, epidemics, or other natural disasters, or other events beyond SINBADEXPORT's control, not attributable to its fault, and not reasonably foreseeable (“Force Majeure”) If any of the above events prevent or delay SINBADEXPORT from fulfilling its obligations under this Membership Agreement, SINBADEXPORT shall not be held liable for the obligations prevented or delayed as a result of Force Majeure, and this situation shall not be considered a breach of this Membership Agreement.

SINBADEXPORT does not claim to operate a perfect e-commerce site; it only takes technical measures to ensure the security of the Website, primarily those it is responsible for implementing in accordance with applicable laws. It monitors these technical measures and, in cases where they prove insufficient, makes the necessary improvements and spends money to do so, never compromising on Website security. However, it cannot be held liable in any way for problems arising from the Force Majeure events detailed above. Members have accepted and approved this situation.

10. MISCELLANEOUS PROVISIONS

10.1. Evidence Agreement: The Member agrees that in any disputes arising from this Membership Agreement, SINBADEXPORT's official books and commercial records, as well as the e-archive records, electronic information, electronic correspondence, and computer records stored in SINBADEXPORT's database and servers, shall constitute binding, conclusive, and exclusive evidence.

10.2. Applicable Law and Resolution of Disputes: This Membership Agreement shall be governed exclusively by the laws of the United States of America. Any dispute arising from or related to this Membership Agreement shall be subject to the exclusive jurisdiction of the New York Courts.

10.3. Notification: SINBADEXPORT shall communicate with the Member via the email address provided by the Member upon registration, by calling the telephone number and sending SMS messages, or by using the home/business address specified by the Member. The Member is responsible for keeping their email address and phone number up to date. SINBADEXPORT may contact the Member using other contact information provided by the Member as deemed necessary and may use these addresses to send advertisements and other notifications to the Member. The MEMBER accepts and approves that these addresses may be used in this manner.

10.4. Integrity and Severability of the Membership Agreement: This Membership Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof. If any provision of this Membership Agreement is held by any court of competent jurisdiction, arbitration panel, or administrative authority to be wholly or partially invalid, unenforceable, or unreasonable, such invalidity, unenforceability, or unreasonableness shall be deemed severable from this Membership Agreement, and the remaining provisions shall remain in full force and effect.

10.5. Assignment of the Membership Agreement: The Member may not assign its rights or obligations under this Membership Agreement, in whole or in part, without the prior written consent of SINBADEXPORT. Any assignment or transfer made without the prior written consent of SINBADEXPORT shall be void. However, SINBADEXPORT may assign and transfer this agreement and/or its rights, interests, receivables, and/or obligations arising from this agreement to its affiliates, subsidiaries, business partners, and/or third parties without obtaining the Member's prior written consent.

10.6. Amendment and Waiver: The failure of either Party to exercise or enforce any right granted to it under the Membership Agreement shall not constitute a waiver of such right or preclude the subsequent exercise or enforcement of such right.

10.7. Persons located in countries on the United States' Trade Sanctions and Embargo list, as listed by the Office of Foreign Assets Control (OFAC), are prohibited from becoming members of the SINBADEXPORT site. Membership requests from individuals or companies attempting to join the site from these countries will not be accepted. The following is a list of prohibited countries:

Cuba, Iran, North Korea, Syria, Crimea Region (Crimea, Ukraine), Belarus, Libya, Democratic Republic of the Congo, Somalia, Sudan, Venezuela, Yemen, Zimbabwe

This Membership Agreement, consisting of 10 (ten) articles, has entered into force upon being approved electronically by the Member after reading and fully understanding each provision.
